These Consumer Terms of Use (these “Terms”) are between The Therapist Connector, LLC, a Washington limited liability company, (“Company”) and you. By using http://thetherapistconnector.com (the “Website”) you accept these Terms.
1.1.Eligibility. You may use the Website only if you are 13 years old or older and legally capable of entering into these Terms.
1.2.Directory only. The Website provides informational directory and search functions that allow you to identify therapists whose listings appear responsive to criteria you select. The Website does not select a therapist for you or determine whether any therapist is suitable for your circumstances.
1.3.Direct contact required. If you wish to communicate with a therapist or obtain services, you must contact the therapist or the therapist’s practice directly using the contact information included in the therapist’s listing or otherwise independently available. You cannot contact a therapist through the Website.
1.4.External relationship. Any interaction between you and a therapist is solely between you and the therapist or therapist’s practice. Company is not a party to that relationship or any resulting agreement.
1.5.No guaranteed results. We do not guarantee that:
a.search results will identify every therapist who may satisfy your criteria;
b.a therapist appearing in search results currently accepts new clients;
c.therapist listing information is complete, accurate, or current;
d.a therapist accepts your insurance or offers services at a displayed fee;
e.a therapist is authorized to treat a person in your location;
f.a therapist will respond to you, accept you as a client, or provide services; or
g.any therapist or service will be appropriate, effective, or satisfactory for you, or that you will achieve desired results.
2.1.Independent therapists. Therapists and practices listed on the Website are independent professionals and businesses. They are not employees, agents, partners, representatives, joint venturers, or contractors of Company merely because they maintain a listing on the Website.
2.2.No endorsement. The display of a therapist’s listing does not constitute Company’s endorsement, recommendation, certification, referral, guarantee, or warranty of that therapist or the therapist’s qualifications, competence, conduct, availability, services, or results.
2.3.Limited listing review. Before approving a therapist for a subscription, Company verifies that the therapist has an active and valid license in the state they represented. Company will again verify a therapist’s license on the license’s renewal date. The license verification is limited to the initial application to subscribe to the Website and license renewal date. Licenses are not continuously monitored. Company does not verify any other credentials or representations on a therapist’s listing. Therapists are responsible for the accuracy and legality of their listing information. You are solely responsible for reviewing and verifying therapist credentials and representations that appear on the therapist’s listing. Company is not responsible for any misrepresentation or inaccuracy in a therapist’s listing.
2.4.Third-Party Sites. Therapist listings may contain contact information that directs you to websites, phone numbers, email addresses, scheduling systems, payment services, telehealth Websites, maps, or other services operated by third parties. Company is not responsible for any third-party sites or services.
3.1.No professional relationship with Company. Your access to or use of the Website does not create a therapist-client, provider-patient, physician-patient, fiduciary, confidential, or other special relationship between you and Company.
3.2.No determination of need or suitability. Company does not evaluate your symptoms, condition, treatment needs, risk level, or compatibility with a therapist. Search criteria and results should not be interpreted as a diagnosis, clinical assessment, treatment recommendation, or determination that a particular therapist is suitable for you. Search criteria and results are for informational purposes only. Company does not provide any health-care service.
3.3.Your responsibility. You are solely responsible for contacting a therapist, evaluating a therapist for a suitable fit, deciding whether to receive treatment from a therapist, scheduling, informed consent, fees, payment, insurance verification, cancellation terms, telehealth requirements, treatment decisions, and disputes.
3.4.No responsibility for therapist’s professional services. Company does not direct, supervise, control, or monitor any therapist’s professional services, clinical decisions, communications, fees, billing, privacy practices, or acts or omissions. Each therapist is solely responsible for the therapist’s professional judgment, informed-consent process, diagnosis, recommendations, treatment, billing, privacy practices, records, and compliance with professional and legal obligations.
4.1.Not an emergency service. Company does not provide emergency response or crisis intervention. Do not use or rely on the Website to obtain emergency assistance or address circumstances requiring immediate professional attention, or to report an imminent threat.
4.2.Emergency action. If you believe that you or another person may be in immediate danger, may cause harm, or require urgent medical or mental-health assistance, contact local emergency services or an appropriate crisis-response service immediately.
5.1.Authorized use. You may use the Website only for personal, lawful purposes relating to locating a therapist for yourself or a person for whom you are legally authorized to act.
5.2.Prohibited conduct. You shall not:
a.use the Website for an unlawful, fraudulent, deceptive, harassing, discriminatory, or harmful purpose;
b.impersonate another person or misrepresent your identity, authority, or relationship to another person;
c.extract, compile, copy, sell, or commercially exploit therapist listings, contact information, search results, or other Website data;
d.use therapist information for unsolicited advertising, mass communications, recruitment, profiling, or another purpose unrelated to personally locating professional services;
e.use bots, crawlers, or similar methods to access or collect Website content or source code;
f.interfere with the Website’s operation, security, or technical infrastructure; or
g.introduce malicious code or attempt to gain unauthorized access to the Website, another user’s information, or any related system.
5.3.Enforcement. Company may restrict or terminate access, block technical activity, or take other reasonable measures if Company believes that use of the Website violates these Terms or threatens the Website, Company, therapists, consumers, or third parties.
6.1.Website Ownership. Company and its licensors retain all right, title, and interest in the Website, Company content, software, designs, databases, search functionality, branding, and related intellectual property.
6.2.Therapist content. Professional biographies, photographs, practice descriptions, trademarks, and other therapist-supplied materials may be owned by the applicable therapist or another rights holder. You do not have a right to use therapist content except as necessary to view the listing through the Website or the copy of your therapist search results sent to you by email.
6.3.Feedback. If you voluntarily provide suggestions or feedback concerning the Website, you grant Company a perpetual, irrevocable, worldwide, royalty-free right to use that feedback to operate, maintain, secure, and improve the Website.
To the fullest extent permitted by applicable law, Company will not be liable for any therapist’s or practice’s acts, omissions, misrepresentations, communications, professional judgment, diagnosis, treatment, billing, privacy practices, or other services or conduct.
8.1.Changes to Terms. Company may amend these Terms prospectively by providing notice through the Website, by email, or through another reasonable method. Material changes will become effective on the date stated in the notice. If Therapist does not agree to an amendment, Therapist must cancel before it becomes effective; continued use afterward constitutes acceptance.
8.2.Governing law and forum. These Terms are governed by the laws of the state of Washington, without regard to conflict-of-laws principles. Each party consents to exclusive jurisdiction and venue in the state and federal courts located in Clark County, Washington.
8.3.Assignment. Company may assign these Terms in connection with a merger, reorganization, financing, sale of assets, change of control, or transfer of the business.
8.4.Force majeure. Company is not liable for delay or failure caused by events beyond its reasonable control, including power or telecommunications failures, security breaches, cyberattacks, or failures of third-party infrastructure.
8.5.Severability. If any provision is held invalid or unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions will remain effective.
8.6.Waiver. A waiver must be in writing and applies only to the specific matter waived. A failure or delay in enforcing a provision is not a waiver.

These Therapist Terms of Use (these “Terms”) are between The Therapist Connector, LLC, a Washington limited liability company, (“Company”) and a therapist or other mental health professional (“Therapist” or “you”) subscribing to and otherwise using http://thetherapistconnector.com (the “Website”).
By creating an account, purchasing or renewing a subscription, publishing a Listing, or otherwise using the Website as a Therapist, you accept these Terms.
1.1.Website services. Subject to these Terms, Company permits you to create and maintain a public professional listing that consumers may locate through searches based on criteria such as geographic location, specialties, therapeutic approaches, insurance participation, fees, availability, language, and other criteria supported by the Website (the “Listing”). Therapist shall use the Website only for lawful professional purposes and in accordance with these Terms.
1.2.Therapist responsibility. Consumers may contact Therapist directly. Consumers may not contact Therapist through the Website. Therapist is solely responsible for reviewing and responding to inquiries, determining professional suitability, confirming identity and location where appropriate, obtaining informed consent, establishing the terms of any professional relationship, and providing or declining services. Company expects Therapist to respond to any inquiries from a consumer of the Website within 48 hours after receiving an inquiry.
1.3.No guaranteed results. Company does not guarantee any minimum number of profile views or search appearances, or any resulting clients, revenue, or other results. A subscription purchases access to post a listing on the Website; it does not purchase a referral, patient relationship, endorsement, or appearance in search results.
1.4.Search Results. Company ranks therapists in search results based on how many criteria the consumer selected that matches a therapists’ qualifications in their Listing Content (defined in Section 3). Therapists with the most matching criteria appear first. Other therapists may appear in the search results for fewer matching criteria. If multiple Therapists have the same matching criteria, the order the Therapists are shown in the search results is based on a changing, random rotation.
1.5.Website modifications. Company may modify Website features, search criteria, display formats, technical requirements, and functionality from time to time. Company will provide notice of any material change that substantially reduces the principal features of a paid subscription.
1.6.Independent professional. Therapist is an independent professional and not an employee, agent, partner, franchisee, joint venturer, or representative of Company. Nothing in these Terms authorizes Therapist to bind Company or make representations on Company’s behalf.
2.1.Eligibility. Therapist may use the Website only if Therapist:
a.is at least 18 years old and legally capable of agreeing to these Terms;
b.holds an active and valid license to provide mental health services in a state where the Website operates;
c.is not subject to any undisclosed suspension, restriction, exclusion, or disciplinary condition that would make the Listing inaccurate or Therapist’s services unlawful; and
d.maintains any professional liability insurance required by law in the state where Therapist practices.
2.2.Continuing responsibility. Therapist is required to maintain professional qualifications throughout the subscription term and shall promptly notify Company of any expiration, lapse, restriction, suspension, revocation, investigation, disciplinary action, or other development that could materially affect Therapist’s qualifications, authority to practice, or accuracy of the Listing. Therapist is required to update their listing to maintain accuracy.
2.3.Scope and location of practice. Therapist is solely responsible for determining if Therapist can legally provide services to a consumer, including by confirming the consumer’s location.
3.1.Registration information. Therapist shall provide complete and accurate information on Therapist’s Website account. Therapist shall promptly update that information whenever it changes.
3.2.Listing content. Therapist may submit professional and practice information (“Listing Content”). Therapist represents, warrants, and covenants that all Listing Content:
a.is accurate, complete, current, and not misleading;
b.is supported by appropriate qualifications and substantiation;
c.complies with applicable advertising, professional, consumer-protection, privacy, intellectual-property, and ethical requirements;
d.does not guarantee treatment results or make false or unsubstantiated comparative or superiority claims;
e.does not contain confidential client information, testimonials or endorsements obtained or presented unlawfully, or content that infringes another person’s rights; and
f.does not imply that Company certifies, employs, supervises, endorses, or guarantees Therapist.
3.3.Updates. Therapist shall promptly correct or remove inaccurate or outdated Listing Content, including changes concerning licensure, availability, office location, telehealth jurisdictions, fees, insurance participation, or contact information.
3.4.Content review. Company may require you to correct or Company may remove Listing Content that Company reasonably believes is inaccurate, misleading, unlawful, unsafe, technically harmful, inconsistent with these Terms, or likely to expose Company or others to material risk. Company may request documentation or consult public records to verify Therapist’s license and credentials. Company is not obligated to independently review every Listing or monitor every change.
4.1.Subscription Fees. Therapist shall pay the subscription fees, taxes, and other charges displayed on the Website during registration (“Fees”). Fees are nonrefundable.
4.2.Payment authorization. Therapist authorizes Company and its payment processor to charge the payment method associated with the account for all Fees and applicable taxes. Therapist shall maintain a valid payment method and accurate billing information.
4.3.Automatic renewal. The subscription renews when each subscription payment is processed. Unless canceled before the renewal date, each subscription automatically renews for successive periods equal to the initial subscription period, and Company may charge the then-current renewal Fee to Therapist’s payment method.
4.4.Fee changes. Company may change Fees prospectively by providing notice before the next renewal, unless Company has agreed not to change Fees as part of the terms of Therapist’s subscription.
4.5.Failed payment. If a payment is declined, reversed, disputed, or overdue, Company may retry the charge, suspend the Listing, or terminate the subscription. Therapist remains responsible for accrued amounts and authorized collection costs.
4.6.Cancellation. Therapist may cancel renewal through their account settings. Cancellation becomes effective at the end of the then-current paid period. There are no pro-rated refunds for cancellation during a paid period.
4.7.No referral fee. Fees are charged for access to Website features and Listing services, not in exchange for a particular referral. Therapist shall not use the Website in any manner that would violate applicable restrictions concerning referrals or fee splitting.
5.1.Website ownership. Company and its licensors retain all right, title, and interest in the Website, Company content, software, designs, databases, search functionality, branding, and related intellectual property.
5.2.Listing Content ownership. Therapist retains any ownership rights Therapist holds in Listing Content. Therapist grants Company a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license during the subscription term, and for a reasonable transition period afterward, to host, store, adapt for display, publish, and market Listing Content for the purposes of operating and marketing the Website and Therapist’s Listing.
6.1.Suspension or removal. Company may suspend account access, hide or remove a Listing or terminate an account if Company reasonably determines that:
a.Therapist breached these Terms or failed to pay Fees;
b.Listing Content is inaccurate, misleading, unlawful, or outdated;
c.Therapist’s license, credentials, authority to practice, or insurance has lapsed or become restricted;
d.Company receives information that Therapist has repeatedly not responded to Consumer inquiries within 48 hours;
e.Therapist’s conduct with consumers presents a material legal, privacy, security, consumer-safety, reputational, or operational risk;
f.Company receives a credible complaint requiring investigation; or
g.Suspension or removal is necessary to maintain Website security, comply with law, or protect consumers or third parties.
6.2.Effect of termination. Upon termination, Therapist’s access rights cease, the Listing may be removed, and all accrued payment obligations remain due.
7.1.Disclaimers. The Website is provided “as is” and “as available.” Company disclaims all express and implied warranties for security, availability, and uninterrupted or error-free operation.
7.2.Consumer conduct. Company is not responsible for conduct of consumers who obtain Therapist’s contact information through the Website and contact Therapist. This conduct includes consumer statements, consumer suitability, missed appointments, payment disputes, professional-service disputes, or unauthorized conduct outside Company’s reasonable control.
7.3.Limitation of Liability. To the fullest extent permitted by law, Company’s aggregate liability arising from or relating to the Website or these Terms will not exceed the Fees paid by Therapist to Company. Company and its members, employees, contractors, agents, and service providers are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of business, goodwill, or opportunities, arising from or relating to the Website or these Terms, including for any claim of negligence.
7.4.Indemnification. To the fullest extent permitted by law, Therapist shall defend and indemnify Company and its members and employees from all legal claims, damages, liabilities, judgments, penalties, fines, costs, and reasonable attorneys’ fees arising out of or relating to:
a.Therapist’s Listing Content or Therapist’s communications;
b.Therapist’s professional services, acts, or omissions;
c.Therapist’s licensure, credentials, advertising, billing, insurance, privacy, records, or professional obligations;
d.Therapist’s breach of these Terms; or
e.Any dispute between Therapist and a consumer who used the Website.
8.1.Changes to Terms. Company may amend these Terms prospectively by providing notice through the Website, by email, or through another reasonable method.
